REAL ESTATE

For almost a century, FloranceGordonBrown has been widely known in the Richmond community for its real estate practice. We routinely handle commercial and residential purchase, sale, and refinance transactions for our clients. We are one of the few remaining downtown firms that does residential closings (perhaps the only firm that still does so in the financial district). In addition, we represent local, regional, and national developers, retailers, lenders, banks, home builders, land owners, and contractors.

FloranceGordonBrown regularly provides real estate services in the following areas:

PURCHASE, SALE, AND FINANCING

• Representing buyers and sellers in transactions involving the purchase and sale of real estate
• Representing borrowers and lenders in real estate-based financing including acquisition, construction, and permanent financings

LENDER REPRESENTATION

• Serving as bank counsel in loan transactions secured by real estate and other assets
• Serving as trustee in conducting foreclosure sales, including complex commercial foreclosures with real estate and other assets
• Assisting with bank-owned property or real estate leased by the bank

DEBT RESTRUCTURING

• Representing lenders and borrowers in restructuring real estate-based financings including recasting and forgiveness of debt and standby agreements

REAL ESTATE DEVELOPMENT

• Acquisition, development, leasing and disposition of retail, office, undeveloped, and residential properties
• Rezoning property and obtaining variances and special use or other permits and approvals in connection with real estate development

LEASING

• Representing landlords and tenants in reviewing, drafting, and negotiating commercial leases for all types of properties including office, medical office, warehouse, retail, telecommunications, and restaurants
• Representing lenders and tenants in preparing, reviewing, and negotiating tenant estoppels and subordination and non-disturbance agreements

ENTITY FORMATION

• Forming limited liability companies, limited partnerships, corporations, and other entities for real estate acquisition and development

RECENT TRANSACTIONS HANDLED BY THE REAL ESTATE PRACTICE GROUP:

• Leasing transactions for regional telecommunications company
• Serving as Virginia counsel for a regional restaurant in asset based financing in numerous locations throughout Virginia
• Representing a client in developing a major residential and mixed-use development in Powhatan County, Virginia
• Closing several high dollar (over $2M) residential purchases in locations throughout Virginia
• Representing several regional lenders in asset-based financings
